Terms of Use

1. Who provides the Application

The Application is provided by MESE Studios LLC, a limited liability company organized in the State of Wyoming, United States ("we", "us"). The software is developed by MNE Works.

You can contact us at support@listorie.com. We monitor this address and reply to support requests within a reasonable time.

2. Acceptance and eligibility

You accept these Terms by clicking to accept them when you create an account or connect an Etsy shop, or by otherwise using the Application. We may ask you to accept updated Terms to keep using it.

The Application is for business use by people who are at least 18 years old and able to form a binding contract. If you accept these Terms for a company or other entity, you confirm that you have the authority to bind it.

The Application is not available to anyone who is barred from using it under applicable sanctions or export laws, or whose Etsy account has been suspended or terminated by Etsy.

3. What the Application does

Listorie is a workspace for sellers who run one or more Etsy shops. After you authorize a shop, it lets you view and prepare listings, adapt them to individual shops, send them to Etsy as drafts, publish them immediately or on a schedule, follow orders and add tracking information, and keep a publishing calendar and notes.

The Application is in early access. Features, limits and availability can change, and parts may be offered as a preview without service commitments. Joining the waitlist does not guarantee an invitation.

The Application depends on Etsy's API. Etsy decides whether and on what conditions we can use it, and may change or withdraw it. Etsy does not provide, sponsor or support the Application.

4. Your account

Give us accurate information, keep your sign-in details secure and tell us at once if you suspect unauthorized use. You are responsible for activity under your account, including by people you invite.

Do not share an account across businesses or let others use your account, and do not create accounts to get around limits, suspensions or fees.

Each account is limited to the number of shops, users and other limits of your plan.

5. Connecting your Etsy shops

You connect each Etsy shop separately through Etsy's own sign-in and authorization screen. We never receive your Etsy password. You may only connect shops that you own or are authorized to manage.

We request only the permissions we need. You can disconnect a shop at any time in the Application or in your Etsy account settings, and Etsy can revoke access at any time. If access is revoked, the affected features stop working for that shop.

You remain responsible for your Etsy account and for complying with Etsy's terms and policies, including its Terms of Use, Seller Policy, Creativity Standards and Prohibited Items Policy, for everything you create, change or publish with the Application.

Etsy charges its own fees, such as listing and transaction fees, under its own terms. Creating, publishing or renewing a listing through the Application can create Etsy fees, which you owe to Etsy. We do not charge or collect them.

6. Etsy data and your data

You keep all rights in your listings, images, shop data and other content. You give us a limited, non-exclusive license to host, process and display it only to provide the Application to you.

For personal data of Etsy buyers and other Etsy members that we receive through the Etsy API, we act as your service provider: we process it only to provide the Application to you, as described in our Privacy Notice and in line with applicable law. You remain responsible for the buyer data you decide to process with the Application.

We do not sell Etsy data, use it for advertising, or use it to train artificial intelligence models. We show Etsy data no more than 6 hours older (listing content) or 24 hours older (other content) than it is on Etsy, and keep it no longer than reasonably necessary to provide the Application.

After you disconnect a shop or close your account, we stop accessing the data and delete it within 30 days, unless the law requires us to keep it longer. On request we will give you an export of your own content, and if a security incident affects your Etsy data we will notify you as set out in our Privacy Notice.

7. Acceptable use

You agree not to: break the law or Etsy's terms and policies; list or sell items that Etsy prohibits, that infringe someone else's rights or that are mass-produced in a way that breaks Etsy's Creativity Standards; copy or scrape Etsy or other users' content outside the Application; try to get around rate limits, permissions, security or plan limits; reverse engineer the Application or access Etsy's internal systems; send spam; manipulate shop statistics, ratings or reviews; use the Application to divert sales or buyers away from Etsy; resell or share access to the Application or to Etsy data; or interfere with the Application or other users.

We may remove content, limit features or suspend access if we reasonably believe you are breaking this section or putting the Application or other users at risk, or if Etsy asks us to.

8. Plans, free trial, fees and taxes

The Application may be offered under paid plans that differ in limits, such as the number of shops, users and scheduled publications. The plans, limits and prices that apply to you are shown on our website or in the Application before you buy.

We may offer a free trial. Unless we state otherwise when you sign up, a trial ends without any charge if you do not choose a paid plan.

Fees are charged by us, not by Etsy, through a third-party payment provider, and exclude taxes unless stated. You are responsible for applicable taxes. You can cancel at any time to stop future charges; unless the law requires otherwise or we say so at purchase, fees already paid are not refunded.

We may change plans, limits and prices with reasonable notice before the change takes effect for your account. You can cancel before the change applies.

9. Support and availability

We provide support by email at the address above. We aim to keep the Application available but do not promise uninterrupted or error-free service, and we may suspend it for maintenance or security.

We are not responsible for failures caused by Etsy, including outages, rate limits, API changes or revoked access, or by other third parties.

10. Intellectual property and feedback

The Application, including its software, design, text and the Listorie name and logo, belongs to us or our licensors. We give you a limited, non-exclusive, non-transferable, revocable right to use the Application for your own business under these Terms.

If you send us feedback or suggestions, we may use them without restriction or payment, and without any obligation to you.

Etsy's names and marks belong to Etsy, Inc. We use them only to describe our connection to Etsy's service.

11. Suspension and termination

You may stop using the Application and close your account at any time.

We may suspend or end your access if you breach these Terms, if required by law or by Etsy, if your use puts the Application or others at risk, or if fees remain unpaid after notice. Where reasonable, we will tell you why and give you a chance to fix the problem.

If we decide to discontinue the Application, we will give you at least 30 days' notice, keep supporting you during that period and help you export your content. Sections that by their nature should survive termination, including those on intellectual property, disclaimers, liability and governing law, continue to apply.

12. Disclaimer

DISCLAIMER: THIS APPLICATION IS SOLELY PROVIDED BY MESE STUDIOS LLC (THE “APPLICATION DEVELOPER”). YOU ACKNOWLEDGE THAT ETSY, INC. AND ITS AFFILIATES ARE NOT THE APPLICATION DEVELOPER, DO NOT PROVIDE THE APPLICATION SERVICE, AND MAKE NO WARRANTIES OF ANY KIND WITH RESPECT TO THE APPLICATION OR DATA ACCESSED THROUGH IT.

THE APPLICATION IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APPLICATION WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT ETSY WILL KEEP PROVIDING ITS API, AND WE DO NOT GUARANTEE ANY SALES, REVENUE OR RESULTS.

13. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA OR GOODWILL, ARISING OUT OF OR RELATED TO THE APPLICATION OR THESE TERMS, EVEN IF WE WERE TOLD THEY WERE POSSIBLE.

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE APPLICATION IS LIMITED TO THE GREATER OF THE FEES YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT AND USD 100. NOTHING IN THESE TERMS EXCLUDES LIABILITY THAT CANNOT BE EXCLUDED BY LAW.

14. Indemnification

You will defend and indemnify us against claims, losses and costs (including reasonable legal fees) arising from your content, your listings and products, your breach of these Terms, or your breach of Etsy's terms or of the law, except to the extent caused by us.

15. Governing law and disputes

These Terms and any dispute about them or the Application are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-laws rules.

Before starting any proceeding, you agree to contact us at the address above and try in good faith to resolve the matter for at least 30 days.

Subject to any mandatory rules that give you the right to bring a claim elsewhere, the state and federal courts located in Wyoming have exclusive jurisdiction, and you and we consent to their jurisdiction and venue.

16. Changes to these Terms

We may update these Terms. We will tell you about material changes in the Application or by email before they take effect, and continued use after that means you accept the updated Terms.

17. General

These Terms, together with the Privacy Notice and the terms shown when you buy a plan, are the entire agreement between you and us about the Application. If a provision is unenforceable, the rest stays in effect, and our not enforcing a right is not a waiver of it.

You may not transfer these Terms without our consent. We may transfer them to a successor to our business.

Neither of us is liable for a delay or failure caused by events beyond reasonable control, other than payment obligations. We may give you notices by email or in the Application.

These Terms are written in English, and the English version governs if there is any translation. You will comply with applicable export-control and sanctions laws.

18. Etsy trademark

The term 'Etsy' is a trademark of Etsy, Inc. This Application uses Etsy's API, but is not endorsed or certified by Etsy.
